Welcome to KRAUT ASSETS LTD ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our software, websites, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility

You must be at least 18 years old or have the legal capacity to enter into a binding agreement to use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts and Access

• Account Creation: You may need to create an account to use certain features. You agree to provide accurate, complete, and up-to-date information during registration.
• Security: You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account.
• Termination: We may suspend or terminate your account if you violate these Terms, applicable law, or engage in behavior that could harm the Service or its users.

3. Free and Paid Access

• Free Access: We may offer free access to certain features or limited versions of the Service. Free access is provided "as is" and may be changed or discontinued at any time.

• Trials: If you participate in a free or promotional trial, you may be automatically charged at the end of the trial unless you cancel beforehand.

4. Billing and Payment

• Subscriptions: Subscription plans renew automatically at the end of each billing cycle unless cancelled before renewal.
• One-Off Purchases: One-time payments grant access to the specified features or term as described at the time of purchase.
• Payment Methods: By providing payment information, you authorize us (and our payment processors) to charge applicable fees.
• Refunds: Fees are non-refundable except as required by law or as expressly stated in our refund policy.
• Taxes: Prices are exclusive of VAT or other applicable taxes, which may be added in accordance with Cypriot and EU law.

5. Use of the Service

You agree to:

• Use the Service only in compliance with applicable laws and regulations;
• Not use the Service for unlawful, infringing, or harmful purposes;
• Not interfere with or disrupt the integrity or performance of the Service;
• Not attempt to reverse engineer, decompile, or otherwise derive source code from the Service.

We reserve the right to monitor usage for compliance purposes and to protect the Service from abuse.

6. Intellectual Property

All intellectual property rights in the Service, including software, design, trademarks, and content, are owned by KRAUT ASSETS LTD or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. Nothing in these Terms grants ownership rights or implies any transfer of intellectual property.

Your use of the Service is subject to our Privacy Policy, which explains how we collect, process, and protect personal data in accordance with the EU General Data Protection Regulation (GDPR) and Cypriot data protection laws.

By using the Service, you consent to our collection and use of personal data as described in the Privacy Policy.

8. Service Availability and Modifications

We aim to provide continuous and reliable Service but do not guarantee uninterrupted or error-free operation.
We may modify, suspend, or discontinue any part of the Service, including features or pricing, at any time with or without notice.
If a material change affects paid users, we will notify you in advance where reasonably possible.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.
You are responsible for determining whether the Service meets your requirements.

10. Limitation of Liability

To the fullest extent permitted by law:

• KRAUT ASSETS LTD shall not be liable for any indirect, incidental, consequential, or punitive damages, or for any loss of profits, data, or business interruption arising out of or related to your use of the Service;
• Our total aggregate liability for any claim shall not exceed the amount you paid to us during the 12 months preceding the event giving rise to the claim, or €50 if you use the Service for free.

11. Indemnification

You agree to indemnify and hold harmless KRAUT ASSETS LTD, its affiliates, directors, and employees from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

You may close your account at any time by following the instructions in your account settings.
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable laws.
Upon termination, your right to access the Service will cease immediately.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of laws provisions.

You agree that the courts of the Republic of Cyprus shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where EU law provides otherwise.

14. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will notify you by email or through the Service prior to the effective date.
Your continued use of the Service after the changes become effective constitutes acceptance of the revised Terms.
